Reseller terms

Last updated: 3 November 2026

Los términos están disponibles en inglés.

Parties and scope

  1. esimdesk is operated by Gjafaland ehf., Aðalstræti 24, Ísafjörður, Iceland. These terms apply from account creation until the account is closed.
  2. The service is only for businesses and other professional users. By creating an account, you confirm that you act in that capacity and can enter into this agreement.
  3. The relationship is non-exclusive. You act as an independent business and cannot make commitments on our behalf.

Your responsibilities as a reseller

  1. You sell eSIMs in your own name. You are responsible to your customers for sales, payments, taxes, store terms, privacy policy and consumer rights.
  2. You obtain any permits needed to sell in your market and bear your own costs, including marketing and payment fees.
  3. You give customers a complaints email address that operates 24 hours a day, 7 days a week, and you provide first-line support. We help as second-line support with technical issues you cannot resolve. A request should include the ICCID and screenshots.
  4. You pass on to customers, in your store terms, the rules in “Permitted use” and the information in “eSIMs, cancellation and refunds”.
  5. You must not promise your own network name on the phone, sell eSIMs unlawfully, give third parties access to your account, or resell through further intermediaries without our written consent.
  6. You must not sell actively, for example through targeted advertising, in areas we notify you are excluded. This does not apply to orders customers place on their own initiative.
  7. You protect passwords, API keys and webhook secrets. You are responsible for operations made with them until you revoke them in the panel.

Balance and prices

  1. The service runs on a prepaid balance in USD. Each issued eSIM and each eSIM top-up deducts the wholesale price. A store cannot issue an eSIM if the balance is too low.
  2. Payments to the balance are non-refundable, unless the law requires a refund or we close the account without any breach by you. In that case we refund the unused balance, less transaction costs.
  3. We may change wholesale prices at any time without prior notice. A change applies only to future orders. You set the customer price yourself.
  4. If a payment is reversed, we may deduct the same amount from the balance and suspend the account until the matter is resolved. Each party handles its own taxes.

eSIMs, cancellation and refunds

  1. You can cancel an uninstalled eSIM in the panel. The wholesale price returns to the balance after the provider confirms the cancellation. You refund your customer yourself.
  2. An installed or activated eSIM cannot be cancelled automatically. You can send a request, and any refund depends on the eSIM’s state and the provider’s decision. An eSIM that has been topped up cannot be cancelled.
  3. Top-ups rejected by the provider return to the balance. A completed top-up cannot be reversed.
  4. An activated eSIM cannot be moved to another device. An eSIM deleted from a phone may not be recoverable, and a new one may be needed. The first connection can take from several minutes to an hour.

Permitted use

  1. eSIMs and prices are intended for normal mobile data use on a smartphone while traveling.
  2. The following are not allowed in particular: use in routers, dongles, IoT devices or as a permanent hotspot, long-term use in the country of residence rather than while traveling, automated or constant background traffic, regularly using a large share of a plan (70–100%) in short cycles, and resale or redistribution without consent.
  3. In such cases, including without notice, we may change prices, set limits, charge you additional costs resulting from that use, or suspend or end the service for the eSIM or the account.

Sanctions and compliance

  1. You must not sell eSIMs to persons or countries under US, EU, UK or Hong Kong sanctions. You also comply with anti-corruption law.
  2. We may suspend or end the service immediately if sanctions require it or if we consider a violation likely. You cover claims and reasonable legal costs resulting from such a violation.

Personal data

  1. You are the controller of your customers’ data. We process it on your behalf and on your instructions, only to fulfil orders and operate eSIMs. You are responsible for the legal basis, customer notices and any required consents.
  2. We use subprocessors for hosting, database, email, payments and eSIM supply. Data may also be transferred outside the European Economic Area. People with access to data are bound by confidentiality.
  3. We help you handle the rights of data subjects. Each party notifies the other of a data breach without undue delay. When the agreement ends, we delete or return the data unless the law requires us to keep it.

Confidentiality and brand

  1. Each party keeps the other’s non-public information confidential, also after the agreement ends, unless the law requires disclosure.
  2. You keep the rights to your brand. You gain no rights to the esimdesk brand or the platform software.

Availability and liability

  1. The service depends on providers and local networks. We do not guarantee uninterrupted operation, coverage or speed in every location.
  2. Neither party is liable for indirect or consequential losses, including lost profits, revenue, goodwill or data.
  3. Our total liability for an order is limited to the wholesale price paid for that order. These limits do not apply to liability that cannot be excluded by law.

Suspension and termination

  1. Either party may end the agreement with at least 10 days’ notice. You can do so by writing to us.
  2. In case of a material breach, the other party may end the agreement immediately if the breach cannot be remedied, and otherwise 30 days after notice if it is not remedied. The same applies to insolvency.
  3. We may suspend an account in case of abuse, payment fraud or reversed payments. When the agreement ends, you stop selling eSIMs. Issued eSIMs work until they expire, unless the agreement ended because of a breach or a legal requirement.

Changes and disputes

  1. We may change these terms. We notify you of material changes by email at least 14 days in advance. Continued use after that date means you accept them. Wholesale price changes are covered in “Balance and prices”.
  2. You must not transfer this agreement to another party without our written consent. You tell us about a change of control of your business within 15 business days.
  3. This agreement is governed by Icelandic law, and the courts of Iceland settle disputes. The English version prevails if versions differ.
